WHAT TO EXPECT

The frequency and amount of testing will vary, depending on the type of project and where we are in the development cycle. In the early phases of a project, you should expect more interviews, usability testing and focus groups.

As feedback is incorporated and the project evolves, you’ll have the opportunity to be more hands-on with the system via Beta testing. The HomeGauge report writer is typically bouncing between all four activities depending on your current usage and the phase of the project.

I thought I was already part of the Beta. Has that changed?

No! If you’ve already joined our Beta group, you’re still in. We’ve just expanded the program and evolved it into HomeGauge Innovation Lab, where you’ll have even more opportunities to share your input and help us shape the future of HomeGauge.

Can I participate in all of the activities?

Yes! You can participate in any or all of our activities: interviews, usability testing and focus groups as well as the Beta. The more input we get from our customers, the better we can offer the products and features you want.

What if I want to drop out?

You can opt out of participating in any of the testing activities whenever you like—although we hope you’ll stick around!

Is it free to join?

Why do I have to sign a Non-Disclosure Agreement?

When a feature is in Beta, it is not yet available to the public. Because these represent a competitive advantage in the marketplace, we want to prevent that information from getting into the wrong hands.

CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

This Confidentiality and Non-Disclosure Agreement (the “Agreement”) with SHGI Corporation (the “Company”) is entered into and agreed to by you (the “User”).

1. Purpose. This Agreement is entered into for the purpose of authorizing User’s use of the Beta version of the HomeGauge home inspection report generation solution, including all associated and related services and products, which is used to manage, track, and deliver home inspections and home inspection reports, provided by the Company (“HomeGauge Beta”). As part of User’s use of HomeGauge Beta, User will be exposed and have access to the confidential and proprietary potential HomeGauage Beta offering of the Company while it is still in development. In exchange for the access to, and use of, HomeGauge Beta granted by the Company, User agrees not to disclose to any third party, or otherwise use, any Confidential Information (as defined below) of or related to the Company and Avenger.

2. Confidential Information. For purposes of this Agreement, “Confidential Information” means all tangible and intangible (including in the unaided memory) information or material concerning HomeGauge Beta or otherwise made available or accessible to the User that a reasonable person would consider as proprietary or confidential. Confidential Information shall include, but is not limited to, the following types of information and other information of a similar nature: trade secrets, know-how, formulas, processes, algorithms, ideas, strategies, inventions, data, designs, flow charts, drawings, proprietary information, business and marketing plans, financial and operational information, material or data relating to the current and/or future business and operations, all other non-public information, information disclosed by any third party which information the Company is obligated to treat as confidential or proprietary information, and any copies, analyses, compilations, studies, summaries, extracts or other documentation User prepares based on the information disclosed by the Company.
Confidential Information does not include any information that:

a. is now or subsequently becomes publicly known through no breach of this Agreement by User;
b. was rightfully in the possession of User without an obligation of confidentiality prior to receipt or access from the Company hereunder;
c. is hereafter received independently by User from a third party without breach of the third party’s confidentiality obligations; or
d. is developed by User independently and without use of or reference to the Company’s Confidential Information, as evidenced by User’s records.

3. Permitted Use. User shall use the Confidential Information solely to use HomeGauge Beta within the United States for the purpose of providing home inspection reports to User’s customers during the term of User’s subscription to HomeGauge Beta (the “Purpose”). User shall treat all Confidential Information of the Company with the same degree of care it accords its own Confidential Information of like nature, but in no event less than reasonable care. User may not reverse engineer, disassemble, or decompile any aspects of HomeGauge Beta that contain Confidential Information and which are provided to User hereunder. Recording, copying, photographing, or any other reproduction of Confidential Information without the prior written approval of an authorized representative of the Company is prohibited unless it is essential to carrying out the Purpose.

4. Confidentiality Obligations. User agrees to hold the Confidential Information in strictest confidence and agrees not to disclose the Confidential Information to anyone other than as needed to carry out the Purpose. Notwithstanding the preceding sentence, User shall not disclose Confidential Information to anyone who is a competitor of the Company without the Company’s prior written permission.

5. Notice of Non-Permitted Disclosure. In the event of dissemination, disclosure, or use of the Confidential Information which is not permitted by this Agreement, User shall notify the Company immediately in writing and will use reasonable efforts to assist the Company in minimizing the damage from such disclosure. Such notice and assistance shall be in addition to and not in lieu of any other rights and remedies the Company may have at law or equity against User. User will be responsible for any breach of this Agreement by its representatives and affiliates.

6. Term. Notwithstanding the conclusion or termination of the User’s use of HomeGauge Beta, whether due to cancellation or otherwise, User shall continue to fulfill its obligations hereunder to maintain the confidentiality of the Confidential Information for a period of three (3) years from the last date of disclosure, except with respect to trade secrets, proprietary information, and personally identifiable information. User’s confidentiality obligations with respect to trade secrets, proprietary information, and personally identifiable information shall survive the expiration or termination of this Agreement.

7. Return of Confidential Information. All Confidential Information, existing in written form or recorded in any other tangible medium, shall be returned to the Company or irretrievably destroyed if requested in writing by the Company, together with any reproductions or copies thereof. User will, if requested, provide the Company with written certification stating that all Confidential Information has been returned or destroyed.

8. No License. All Confidential Information disclosed to, delivered to, or acquired by User from the Company pursuant to this Agreement shall remain the sole property of the Company. The Company is not hereby granting or extending to User any rights of any kind under any patent, copyright, trademark, trade secret or other intellectual property right which the Company may now have or may hereby obtain with respect to the Confidential Information.

9. Remedies. User agrees that the Company may suffer irreparable harm if User fails to comply with its obligations set forth herein and further agrees that monetary damages may be inadequate to compensate the Company for any such breach. Accordingly, User agrees that the Company will, in addition to any other remedies available to it at law or in equity, be entitled to seek injunctive relief or other equitable relief to remedy and breach or threatened breach by User. User agrees to waive any requirement for the securing or posting of any bond in connection with such remedy.

10. Assignment. User shall not have the right to assign this Agreement (or any portion thereof) without the prior written consent of the Company. Any assignment without such consent shall be void and is a material breach thereof.

11. No Waiver of Rights. The failure of any party to insist upon or enforce strict performance of any of the provisions of this Agreement or to exercise any rights or remedies under this Agreement shall not be construed as a waiver or relinquishment to any extent of such party’s rights to assert or rely upon any such provisions, rights, or remedies in that or any other instance; rather the same shall remain in full force and effect. Any waiver must be in writing and duly executed by the party to be charged, and any such waiver shall constitute a waiver only with respect to the specified matter described in such writing and shall in no way impair the rights of the party granting such waiver in any other respect or at any other time.

12. Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law or invalid, such provision shall be changed by the court and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions shall remain in full force and effect.

13. Miscellaneous. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware, excluding its conflict of laws rules. The parties irrevocably consent to the jurisdiction of the state or federal courts presiding in Madison, Wisconsin for any disputes arising under this Agreement, waive any objections based on inconvenient forum or improper venue, and agree that all proceedings arising out of or in connection with this Agreement or the transactions contemplated hereby shall be brought solely in such courts. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior agreements, negotiations and understandings, whether oral or written. This Agreement may not be amended, except by a writing signed by both parties. The terms and conditions of this Agreement shall be enforceable to the fullest extent permitted by law. Each party represents and warrants that it has the authority to enter into this Agreement on behalf of itself and its affiliates and subsidiaries.
